- Deep Dives;
- historical financial analysis;
- financial forecasts;

3.3 The features available to you depend on whether you are using RubiComps as a free user, free-trial user or paid subscriber and on the number of Credits available to you.
3.4 We may introduce, modify or remove features from time to time.
4. Eligibility and Account Registration
4.1 You must provide accurate and complete information when creating an Account.
4.2 You must keep your Account information accurate and up to date.
4.3 You are responsible for maintaining the confidentiality of your login credentials and for all activity undertaken through your Account.
4.4 You must immediately notify us if you believe that your Account has been accessed without your permission.
4.5 Unless your Subscription expressly permits multiple users, an Account is for use by one individual only.
4.6 You must not share your Account credentials or allow another person to access your Account.
4.7 We may suspend or terminate an Account where we reasonably believe that it has been used in breach of these Terms, unlawfully, fraudulently or in a manner that creates a security risk.
5. Free Access
5.1 RubiComps may make certain features available to users free of charge.
5.2 Free access does not provide access to all features of the Platform.
5.3 We may change the features available to free users from time to time.
5.4 Free users are not entitled to volume discounts on Credits unless expressly stated otherwise.
6. Free Trial
6.1 We may offer eligible users a free trial of an Alpha Subscription.
6.2 The features, duration and benefits of a free trial will be displayed on the Platform at the time the trial is offered.
6.3 Unless expressly stated otherwise, a free trial does not require payment and will not automatically convert into a paid Subscription.
6.4 Promotional benefits provided as part of a free trial, including any free Deep Dive or Credits, are personal to the Account and cannot be transferred, sold or exchanged for cash.
6.5 We may restrict a user to one free trial or promotional offer where reasonably necessary to prevent abuse or repeated use of promotional offers.
7. Alpha Subscription
7.1 The features included in an Alpha Subscription are described on the RubiComps website at the time of purchase.
7.2 Unless otherwise stated, an Alpha Subscription is charged annually in advance.
7.3 Your Subscription will automatically renew for a further annual period unless you cancel it before the renewal date.
7.4 You may cancel your Subscription through the Settings section of your Account.
7.5 The annual Subscription Fee is payable in advance for the relevant annual Subscription period and is charged for the Alpha Subscription and the access, features and benefits made available during that period, rather than for any particular level of usage. Unless required by applicable law or expressly stated otherwise in these Terms, cancelling your Subscription will prevent the next renewal but will not entitle you to a refund of the Subscription Fee for the current Subscription period.
7.6 We may change the Subscription Fee for future Subscription periods. Where required by law, we will provide appropriate notice of any change and any applicable cancellation rights.
8. Credits
8.1 Credits may be purchased separately or provided as part of an Alpha Subscription or promotional offer.
8.2 Each Credit entitles you to a Deep Dive for one company.
8.3 A Deep Dive may include a 10-year historical financial analysis, a five-year forecast and a DCF valuation, together with other features described on the Platform.
8.4 Credit prices and any applicable volume discounts will be displayed on the Platform.
8.5 Volume discounts may be available only to Alpha subscribers.
8.6 Credits can only be used while you have an active paid subscription plan that includes access to Deep Dives. An active eligible subscription is required to use any Credits, including Credits purchased separately from the subscription. For the avoidance of doubt, you will not be able to use your Credits once your paid subscription has expired or has not been renewed.
8.7 Credits cannot be transferred between Accounts unless expressly agreed by us.
8.8 Credits have no cash value and cannot be exchanged for cash.
8.9 Credits used to generate a Deep Dive are considered used once the Deep Dive has been successfully generated.
8.10 If a Deep Dive cannot be generated due to a technical failure attributable to RubiComps, we may, at our discretion, restore the relevant Credit or provide another reasonable remedy.
8.11 Unless otherwise stated on the Platform, unused Credits expire when your Subscription or Account ends.
8.12 If you delete your Account, unused Credits will be permanently lost.
9. Deep Dives
9.1 A Deep Dive is generated using Company Data available to RubiComps and automated analytical and modelling processes.
9.2 The information available for analysis varies between companies. Some companies may have incomplete, limited or inconsistent financial information. The accounts of some companies may also contain errors, omissions or inconsistencies, or may be unclear, difficult to read or otherwise unsuitable for accurate analysis.
9.3 We do not guarantee that a Deep Dive will be available for every company or that every component of a Deep Dive will be available for every company. While we take reasonable steps to process and analyse the available information, we do not guarantee that a Deep Dive, or any information or analysis contained within it, will be complete or free from errors or omissions.
9.4 Historical financial information may be affected by changes in accounting policies, company reporting practices, acquisitions, disposals, reorganisations or other factors.
9.5 Forecasts and valuations are based on assumptions and modelling methodologies and are not predictions or guarantees of future performance.
9.6 You should independently review and verify Deep Dive outputs before relying on them.
9.7 Forecasting and valuation features are provided as analytical tools and require your inputs and assumptions, which may include sales, growth rates, profit margins, WACC and other financial or valuation parameters. The resulting forecasts and valuations are dependent on the inputs and assumptions used by you and should not be regarded as predictions or guarantees of future financial performance or value.
10. AI-Generated Analysis
10.1 Certain RubiComps functionality uses artificial intelligence, automated processes and other computational methods.
10.2 These systems may generate financial analysis, commentary, forecasts, valuation outputs, rankings and other information.
10.3 AI-generated outputs may contain errors, omissions or inaccuracies.
10.4 You acknowledge that AI-generated information should be independently reviewed and verified before being relied upon.
10.5 We may modify the models, methodologies, algorithms, data sources and processes used to generate Platform outputs.
11. Financial Forecasts and Valuations
11.1 RubiComps may provide financial forecasts tools, DCF valuations tools, comparable-company analysis, financial ratios, rankings and other analytical outputs.
11.2 These outputs are provided for research and informational purposes only.
11.3 RubiComps does not provide investment, financial, accounting, tax, legal or other professional advice.
11.4 A forecast is an estimate based on your assumptions. Actual results may differ materially.
11.5 A DCF valuation depends on your assumptions and inputs, including forecast financial performance, discount rates, terminal values and other factors.
11.6 Comparable-company is derived from your forecast and valuation assumptions and inputs.
11.7 You are responsible for determining whether any analysis or valuation is appropriate for your purposes.
11.8 You should carry out your own due diligence and obtain appropriate professional advice before making an investment, acquisition, lending, financing or other commercial decision.
11.9 Nothing on RubiComps constitutes a recommendation to buy, sell, lend to, invest in or acquire any company.
12. Company Search, Rankings and Portfolios
12.1 RubiComps may allow you to search, filter and rank companies using financial and other criteria.
12.2 Search results and rankings depend on the data and methodologies used by RubiComps.
12.3 A company’s appearance in a search result, ranking, chart or Portfolio does not constitute a recommendation or endorsement by RubiComps.
12.4 Only companies that have been Deep Dived may be added to Portfolios, unless otherwise stated on the Platform.
12.5 Portfolio functionality is provided for research and analysis purposes.
13. Company Data
13.1 Company Data may be obtained from public records, company filings and third-party data providers.
13.2 We make reasonable efforts to provide useful and reliable information, but we do not guarantee that Company Data is accurate, complete, current or error-free.
13.3 Company Data may subsequently be corrected, amended or updated.
13.4 You are responsible for independently verifying information before relying upon it.
13.5 RubiComps does not endorse or guarantee any company identified through the Platform.
14. Use of Company Data
14.1 You may use Company Data accessed through RubiComps for your own legitimate business, research, investment, acquisition, lending and related purposes, subject to these Terms and any additional restrictions displayed on the Platform.
14.2 You must not systematically extract, scrape, reproduce, download or store Company Data for the purpose of creating a competing database, search engine, information service or other competing product.
14.3 You must not use automated tools, bots, crawlers or scraping software to access or extract information from RubiComps without our prior written permission.
14.4 You must not resell or commercially redistribute access to RubiComps or Company Data unless expressly authorised by us.
14.5 You must not make the Platform or your Account available to third parties.
14.6 If you wish to use Company Data beyond the uses permitted by these Terms, you must contact us for permission.
15. Exports and Excel Files
15.1 Certain Deep Dives or Subscriptions may allow you to download or export financial information, analysis or Excel files.
15.2 Exported information remains subject to these Terms.
15.3 You may modify exported files for your own internal analysis and modelling.
15.4 You must not use exported information to create a competing database, information service or software product.
15.5 You must not systematically download or export Company Data for resale or redistribution.
16. Intellectual Property
16.1 All intellectual property rights in the RubiComps Platform, including its software, design, functionality, databases, methodologies, algorithms, models, trademarks and branding, are owned by or licensed to VFD SaaS Technologies.
16.2 Nothing in these Terms transfers ownership of our intellectual property to you.
16.3 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable and revocable right to use RubiComps for the duration of your permitted access.
16.4 RubiComps and related branding are trademarks or trading names used by VFD SaaS Technologies and may not be used without our prior written consent.
17. Your Content and Feedback
17.1 If you upload or enter information into RubiComps, you retain ownership of that information.
17.2 You grant us the rights reasonably necessary to store, process and display that information in order to provide the RubiComps service.
17.3 You must ensure that you have the necessary rights and permissions to provide any information you upload or enter into RubiComps.
17.4 If you provide feedback, suggestions or ideas relating to RubiComps, we may use them to develop or improve our products and services without compensation or further obligation to you.
17.5 Our database may not be exhaustive and may not include all companies registered or operating in the UK. The absence of a company from RubiComps does not mean that the company does not exist or that information about it is not available from other sources.
18. Privacy and Data Protection
18.1 Our processing of personal data as a data controller is governed by our Privacy Notice, available on our website.
18.2 Both parties will comply with applicable data protection laws, including the UK GDPR and the Data Protection Act 2018.
18.3 To the extent that VFD SaaS Technologies processes personal data on your behalf as a data processor in connection with the Platform, such processing will be governed by our Data Processing Addendum (“DPA”), available here, which is incorporated into and forms part of these Terms. In the event of any conflict between the DPA and these Terms in relation to the processing of personal data, the DPA will prevail.
18.4 You warrant that you have all necessary rights and permissions, and have provided all notices required by applicable data protection laws, to enable the lawful transfer of personal data to us and its processing by us in accordance with these Terms and the DPA.
19. Fees and Payment
19.1 Subscription Fees and Credit prices are displayed on the RubiComps website.
19.2 Unless stated otherwise, prices exclude VAT and other applicable taxes.
19.3 You authorise our payment provider to charge the applicable Subscription Fees and Credit purchases to your selected payment method.
19.4 If payment fails, we may suspend access to paid features until payment has been received.
19.5 You are responsible for maintaining accurate payment and billing information.
19.6 We may change prices for future purchases or Subscription periods.
20. Cancellation and Refunds
20.1 You may cancel your Subscription at any time through your Account settings.
20.2 Cancellation will normally prevent the next annual renewal. Your current Subscription will continue until the end of the current Subscription period unless otherwise stated in these Terms.
20.3 Because an Alpha Subscription is an annual business subscription providing access to the Platform and Alpha features and benefits throughout the Subscription period, the annual Subscription Fee is non-refundable following cancellation during the current Subscription period, unless expressly stated otherwise in these Terms or required by applicable law.
20.4 Credits that have already been used are not refundable.
20.5 Unused Credits are not refundable unless expressly stated otherwise or required by applicable law.
20.6 Nothing in these Terms excludes or limits any rights or remedies that cannot lawfully be excluded or limited.
21. Business and Personal Use
21.1 RubiComps is primarily intended for businesses, professional investors, private equity firms, private credit firms, lenders, financial advisers and other professional or commercial users. Registration requires a valid business or work email address.
21.2 If you use RubiComps in the course of a business or professional activity, you are acting as a business customer and the provisions of these Terms applicable to business customers will apply to you.
21.3 Individuals may also use RubiComps for personal purposes. If you use RubiComps wholly or mainly for purposes outside your business or professional activity, you may be a consumer for the purposes of applicable consumer protection laws.
21.4 Nothing in these Terms excludes or limits any rights or remedies that apply to you as a consumer and that cannot lawfully be excluded or limited.
21.5 If you create an Account or use RubiComps on behalf of a business or organisation, you confirm that you have authority to enter into these Terms on behalf of that business or organisation, and references to “you” and “your” include that business or organisation.
21.6 Where applicable law requires us to provide specific information, cancellation rights, reminders or other protections in relation to a Subscription, we will comply with those requirements.
22. Availability of the Platform
22.1 We aim to provide a reliable service but do not guarantee uninterrupted or error-free access.
22.2 The Platform may occasionally be unavailable because of maintenance, upgrades, technical problems, third-party services or circumstances outside our reasonable control.
22.3 We may modify, suspend or discontinue features of RubiComps.
22.4 We will take reasonable steps to minimise disruption to paid subscribers where practicable.
23. Third-Party Services and Data Providers
23.1 RubiComps may rely on third-party data providers, hosting providers, payment processors, artificial intelligence providers and other technology providers.
23.2 We are not responsible for failures caused by third-party services outside our reasonable control.
23.3 Information supplied by third parties may be subject to the third party’s own terms and limitations.
24. Acceptable Use
You must not:
- use RubiComps for an unlawful or fraudulent purpose;
- attempt to obtain unauthorised access to the Platform or another user’s Account;
- share your Account with another person;
- circumvent Credit, usage or access restrictions;
- scrape, crawl or systematically extract information from the Platform;
- use automated systems to access the Platform without our permission;
- reproduce or distribute substantial parts of the Platform;
- reverse engineer, decompile or disassemble the Platform except where expressly permitted by law;
- create a competing database, search engine or information service using RubiComps data;
- resell or redistribute Platform access or Company Data;
- interfere with the security or operation of the Platform;
- introduce malicious code, viruses or other harmful material; or
- use RubiComps in a manner that infringes the rights of VFD SaaS Technologies or any third party.
25. Confidentiality
25.1 Each party must keep confidential information received from the other party confidential.
25.2 This obligation does not apply to information that is publicly available other than through a breach of confidentiality, was already lawfully known, is independently developed or must be disclosed by law.
25.3 Confidential information may be disclosed to professional advisers, employees and service providers who need to know it and are subject to appropriate confidentiality obligations.
26. Disclaimer
26.1 RubiComps is provided on an “as is” and “as available” basis to the fullest extent permitted by law.
26.2 We do not guarantee that:
- Company Data is complete, accurate or current;
- forecasts will accurately predict future performance;
- valuations represent the price at which a company could actually be bought or sold;
- rankings identify the most suitable acquisition or lending targets;
- AI-generated analysis is free from errors or omissions; or
- the Platform will always be available or error-free.
26.3 You acknowledge that financial analysis, forecasting and valuation involve assumptions and uncertainty.
26.4 RubiComps is a research and decision-support tool and is not a substitute for professional financial, investment, accounting, tax or legal advice.
27. Limitation of Liability
27.1 Nothing in these Terms excludes or limits either party’s liability for:
(a) death or personal injury caused by negligence;
(b) fraud or fraudulent misrepresentation; or
(c) any other liability that cannot lawfully be excluded or limited under applicable law.
27.2 Subject to Clause 27.1, VFD SaaS Technologies will not be liable to you, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, for:
(a) loss of profits, sales, business, or revenue;
(b) loss or corruption of data, information, or software, except to the extent caused by our failure to comply with our obligations under applicable data protection laws or the DPA;
(c) loss of business opportunity, goodwill, or reputation;
(d) loss of anticipated savings; or
(e) any indirect, special, or consequential loss.
27.3 Subject to Clauses 27.1 and 27.2, our total aggregate liability arising out of or in connection with these Terms or your use of RubiComps shall be limited to:
(a) for claims arising from our breach of our obligations under Clause 18 (Data Protection) or the DPA, the total amount paid by you to VFD SaaS Technologies in the 12 months preceding the claim; or
(b) for all other claims, the greater of (i) the total amount paid by you to VFD SaaS Technologies for RubiComps in the 12 months preceding the event giving rise to the claim, or (ii) £500.
27.4 Nothing in these Terms makes VFD SaaS Technologies responsible for any investment, acquisition, lending, financing, valuation or other commercial decision made using information obtained through RubiComps.
28. Indemnity
28.1 You agree to defend, indemnify, and hold harmless VFD SaaS Technologies against reasonable losses, liabilities, costs, damages, and expenses (including reasonable legal fees) arising out of or in connection with:
(a) your material breach of these Terms;
(b) your unlawful, fraudulent, or unauthorised use of RubiComps; or
(c) your unlawful processing, use or disclosure of personal data that you provide to us or otherwise cause us to process, or your infringement of any third party’s intellectual property rights, in each case in connection with your use of RubiComps,
except, in each case, to the extent caused by our negligence or wilful misconduct.
28.2 Subject to the limits in Clause 27, VFD SaaS Technologies agrees to defend you against any third-party claim alleging that your permitted use of the RubiComps Platform infringes the intellectual property rights of a third party, provided that you:
(a) give us prompt written notice of the claim;
(b) give us sole control of the defence and settlement of the claim;
(c) provide reasonable cooperation and assistance in defending the claim; and
(d) do not make any admission, settlement or other commitment in relation to the claim without our prior written consent.
We will not settle any such claim in a manner that admits your liability or imposes any obligation on you without your prior written consent.
28.3 We will have no liability under Clause 28.2 to the extent that an infringement claim arises from:
(a) any modification of the RubiComps Platform made by or on behalf of you;
(b) your combination or use of the RubiComps Platform with any software, data, service or other material not supplied or authorised by us, where the infringement would not have occurred without that combination or use;
(c) your use of the RubiComps Platform other than in accordance with these Terms;
(d) your continued use of the relevant part of the RubiComps Platform after we have notified you of the infringement claim and provided a reasonable alternative or workaround; or
(e) any third-party data, content or materials made available through the Platform, except to the extent that the infringement arises from our own unauthorised use of that material.
28.4 If the RubiComps Platform becomes, or in our reasonable opinion is likely to become, subject to an infringement claim under Clause 28.2, we may, at our option:
(a) procure for you the right to continue using the affected part of the Platform;
(b) modify or replace the affected part of the Platform so that it is no longer infringing, while maintaining substantially equivalent functionality; or
(c) if neither of the above options is reasonably practicable, terminate your right to use the affected part of the Platform and refund any prepaid fees attributable to the unused portion of that affected service.
28.5 Nothing in this Clause 28 limits or overrides the liability provisions applicable to the processing of personal data under Clause 27, Clause 18 or the DPA.
29. Suspension and Termination
29.1 We may suspend or terminate your access to RubiComps if:
- you materially breach these Terms;
- you fail to pay amounts due;
- you use RubiComps unlawfully or fraudulently;
- you share or misuse your Account;
- you attempt to circumvent Platform restrictions;
- your use creates a security risk; or
- we reasonably believe suspension or termination is necessary to protect RubiComps, our users or third parties.
29.2 Where reasonably practicable, we will give you an opportunity to remedy a breach before terminating your Account.
29.3 If VFD SaaS Technologies becomes insolvent, enters administration, liquidation or any other formal insolvency process, or ceases or is unable to continue operating the RubiComps Service, we may suspend or terminate your access to the Platform and Services. To the extent permitted by law, we will not be liable for any loss arising from the suspension or termination of the Platform or Services in such circumstances.
29.4 Where VFD SaaS Technologies voluntarily discontinues the RubiComps Service other than as a result of insolvency, it will refund any unused prepaid Subscription Fees for the remainder of the applicable Subscription period, unless otherwise agreed or required by applicable law. For the avoidance of doubt, this does not create any obligation to make refunds outside the insolvency process where VFD SaaS Technologies becomes insolvent or is subject to administration, liquidation or another formal insolvency procedure. Any unused Credits will not be refundable unless we expressly agree otherwise or a refund is required by law.
29.5 On termination or expiry of your Subscription, your right to access paid features ends.
29.6 Unless otherwise required by law or expressly agreed by us, unused Credits will be lost when your Account or Subscription ends.
29.7 You must cease using Company Data where these Terms or applicable data rights require you to do so following termination.
30. Account Deletion
30.1 You may request deletion of your Account through the Platform or by contacting us.
30.2 Deleting your Account may permanently delete your Account information, Portfolios and other information associated with your Account.
30.3 Unused Credits will be permanently lost when your Account is deleted.
30.4 Certain information may be retained where required by law or reasonably necessary for accounting, legal, security, fraud-prevention or dispute-resolution purposes.
31. Events Outside Our Control
We will not be liable for failure or delay caused by circumstances outside our reasonable control, including failures of internet or telecommunications infrastructure, hosting providers, data providers, payment providers, cyberattacks, natural disasters, war, civil unrest, government action, industrial disputes or widespread technology failures.
32. Changes to These Terms
32.1 We may update these Terms from time to time.
32.2 Where we make material changes that adversely affect paid subscribers, we will provide reasonable notice where practicable.
32.3 The updated Terms will apply from the effective date stated in the updated version.
33. Assignment
33.1 You may not transfer your rights or obligations under these Terms without our prior written consent.
33.2 VFD SaaS Technologies may transfer its rights and obligations under these Terms to another company within its group or in connection with a sale, merger, restructuring or transfer of its business, provided that your rights are not materially reduced.
34. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable. If this is not possible, it will be removed and the remaining provisions will continue to apply.
35. No Waiver
A failure or delay by us to enforce any right under these Terms does not constitute a waiver of that right.
36. Third-Party Rights
Except where expressly stated otherwise, no person who is not a party to these Terms has any right to enforce any provision of them under the Contracts (Rights of Third Parties) Act 1999.
37. Entire Agreement
These Terms, together with our Privacy Notice, Cookie Policy and any other terms expressly incorporated into them, constitute the agreement between you and VFD SaaS Technologies concerning your use of RubiComps.
They supersede any previous agreement or understanding relating to the same subject matter.
38. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
Subject to any mandatory consumer rights, the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
